Our Role

Dreyfus Advisor Services is a division of MBSC Securities Corporation (“MBSC”), a firm that is registered with the Securities and Exchange Commission (“SEC”) as both a broker-dealer and investment adviser, and is a member of the Financial Industry Regulatory Authority (“FINRA”). Depending upon the products that Dreyfus Advisor Services provides to you, MBSC may be acting as a broker-dealer or as an investment adviser. Also, the individual advisors within Dreyfus Advisor Services that you work with (the “Advisors”) are licensed insurance agents with an affiliated insurance agency. We want you to be aware of the products and services that our Advisors can offer to you, the capacities in which MBSC and our Advisors are acting and the compensation that our Advisors receive for providing these products to you.

Our Products

Our Advisors can only offer and recommend the following products to you: (i) mutual funds that are managed, advised and/or administered by The Dreyfus Corporation or its affiliates (the “Dreyfus Funds”), (ii) the Dreyfus Managed Asset ProgramSM (“DMAP”), a wrap-fee investment advisory program that is sponsored by MBSC and offers certain distinct strategies and (iii) insurance products that are issued and underwritten by unaffiliated insurance companies. Importantly, our Advisors do not offer or recommend individual stocks, bonds, mutual funds (other than the Dreyfus Funds) or any other investment product that you may be able to buy and sell in your account.

Brokerage Services

MBSC acts as a broker-dealer when an Advisor recommends Dreyfus Funds and variable annuities. Dreyfus Advisors make product recommendations after discussing your investment goals, risk tolerance, objectives and other information that your Advisor gathers from you. We do not have any discretion to act on your behalf, and you must approve all recommendations that we make. When you enter into a transaction with us in our capacity as a broker-dealer, you pay for the products you purchase, and the amount you pay may include a transaction fee, commission, sales load, sales charge or other expenses as part of the purchase price. In addition, you may pay ongoing fees as part of the investment. The prospectus of a Dreyfus Fund or variable annuity product will include detailed information regarding the fees applicable to these investments.

Advisory Services

MBSC is the sponsor of DMAP. MBSC provides advisory services to you once you have entered into an Investment Advisory Agreement in connection with your participation in DMAP. MBSC and your Dreyfus Advisor will provide various services to you depending upon the particular DMAP strategy that you choose. You will be charged an annual advisory fee payable in quarterly installments based upon the level of assets in your DMAP account. Insurance Products

Each Advisor that offers insurance products, including fixed, fixed index and variable annuities, as well as life insurance, is an insurance agent of Dreyfus Service Organization, Inc. (“DSO”), an insurance agency affiliated with MBSC, and each Advisor is appointed by the unaffiliated insurance companies that issue and underwrite the insurance products offered by MBSC and/or DSO.

Firm and Advisor Compensation

If you purchase a Dreyfus Fund that your Advisor recommends, MBSC and its affiliates receive fees from the Fund for the services that we and our Affiliates provide, and the levels of such fees vary among the Funds — meaning that MBSC and its affiliates benefit more when these fees are higher. For example, MBSC serves as the distributor of the Dreyfus Funds and is compensated by the Funds for the distribution and/or shareholder services that it provides. In addition, MBSC’s affiliates provide a variety of other services to the Dreyfus Funds, including investment advisory, transfer agency and custodial services, for which these affiliates receive fees from the Funds. If you are a shareholder in a Dreyfus Fund, you bear a portion of these fees through the ongoing operating expenses of the Fund, which can vary from fund to fund and are described in each Fund’s prospectus. The total amount of the fees received by MBSC and its affiliates from a Dreyfus Fund increases as the assets in that Fund increase. If you purchase an insurance product that your Advisor recommends, MBSC and/or DSO receive compensation from the sponsoring insurance company that issues the insurance product and the compensation amount can vary depending on both the insurance company and the particular insurance product. The Advisors are compensated in connection with the products they recommend to you based on the terms of a written compensation plan. If you purchase a Dreyfus Fund or insurance product that is recommended by an Advisor, the Advisor receives transaction-based compensation from us (not you). The Advisor’s transaction-based compensation is based on a fixed percentage of the total dollar amount of the purchase that does not vary based on the particular Dreyfus Fund or insurance product recommended. If you elect to participate in the DMAP program, the Advisor will receive compensation in the form of a percentage of the asset-based DMAP advisory fee that you pay for the ongoing services that the Advisor provides, and such percentage does not vary based on the DMAP strategy that is selected.

Variable annuities are insurance products with distinct features and costs. Variable annuities are complex insurance contract-related products. Before you invest, be sure to ask your sales representative about the variable annuity’s features, benefits, risks and fees and whether the variable annuity is appropriate for you based on your financial situation and objectives. There is risk involved in investing in variable annuities, including possible loss of principal. Guarantees are based on the claims-paying ability of the issuing insurance company.
